Terms of Service

1. Acceptance of terms

By creating an account, subscribing to a plan or otherwise using the Platform, you confirm that you have read, understood and agree to these Terms, our Privacy Policy, Risk Disclosure and Refund Policy. If you do not agree, do not use the Platform.

These Terms are an electronic record under the Information Technology Act, 2000 and the rules made under it, and do not require a physical or digital signature.

2. Definitions

• Platform means the ALGORICK website, applications, software, APIs and services.
• User or you means any person who accesses or uses the Platform.
• Strategy or Algo means a set of predefined rules that generates trading signals or orders.
• Broker means a stockbroker registered with the Securities and Exchange Board of India (SEBI) with whom you hold a trading account.
• Subscription means a paid plan that gives you access to certain features for a fixed period.
• Content means all text, data, charts, strategies, backtests, analytics and other material on the Platform.

3. Eligibility

To use the Platform, you must:

• be at least 18 years old and competent to enter into a contract under the Indian Contract Act, 1872;
• hold a valid trading and demat account with a SEBI-registered Broker, with KYC completed;
• not be barred or restricted from dealing in securities by SEBI, any stock exchange or any other authority; and
• use the Platform only for your own account and not on behalf of any other person, unless legally authorised.

4. Nature of our service

ALGORICK is a technology platform. We provide software tools that let you build, test, deploy and monitor trading strategies on your own Broker account.

• We are not a stockbroker, investment adviser, research analyst or portfolio manager, and we do not provide any of those services.
• We do not hold, receive or manage your funds or securities. All money and securities stay in your Broker and depository accounts.
• All orders are routed through your Broker’s systems and are subject to your Broker’s terms, risk management systems and exchange rules.
• Strategies offered through the Platform are made available in line with the applicable SEBI framework for retail algorithmic trading and your Broker’s requirements, including any strategy registration, algo identifiers or other controls they apply.

5. Your account and security

• You must provide accurate, current and complete information when registering and keep it up to date.
• You are responsible for keeping your login credentials, one-time passwords and Broker API keys confidential.
• You are responsible for all activity under your account, whether or not authorised by you.
• You must tell us immediately at info@algorick.com if you suspect unauthorised access to your account.
• We may require additional verification, such as two-factor authentication, to protect your account.

6. Broker connection and authorisation

When you connect a Broker account, you authorise ALGORICK to send orders to your Broker on your behalf, strictly according to the Strategies, parameters and limits you select.

• You can revoke this authorisation at any time by disconnecting your Broker in the Platform or by revoking API access with your Broker.
• Most Brokers require you to log in again each trading day to refresh access tokens. Strategies will not run until this is done.
• Your Broker may reject, modify or cancel orders due to margin shortfalls, risk limits, price bands, quantity freeze limits or exchange rules. We are not responsible for these actions.
• You are bound by your Broker’s terms and charges in addition to these Terms.

7. Strategies, backtests and paper trading

• Backtests and paper trading results are hypothetical. They are based on historical or simulated data and may not reflect slippage, latency, liquidity, taxes or charges.
• You decide which Strategies to deploy, the capital allocated, the quantity and all risk settings.
• You must monitor your positions and Strategies during market hours. Automation does not remove your responsibility for your trades.
• We recommend using stop-losses, maximum daily loss limits and the kill switch available on the Platform.
• We may change, pause or withdraw any Strategy at any time, including to comply with regulatory or Broker requirements.

8. Subscriptions, fees and taxes

• Prices are shown in Indian Rupees (INR). Goods and Services Tax (GST) and other applicable taxes are charged as shown at checkout.
• Subscriptions are billed in advance for the period you choose and renew automatically unless cancelled before the renewal date.
• If a payment fails, we may suspend paid features until payment is received.
• We may change our prices with at least 30 days’ notice. Changes apply from your next billing cycle.
• Brokerage, exchange transaction charges, Securities Transaction Tax (STT), stamp duty, SEBI fees and GST on trades are charged by your Broker and are separate from our fees.
• Refunds are governed by our Refund Policy.

9. Acceptable use

You agree not to:

• use the Platform for any unlawful purpose or in breach of SEBI regulations, exchange bye-laws or any applicable law;
• engage in market manipulation, including spoofing, layering, circular trading, front-running or creating false or misleading volumes;
• share, sell or sub-license your account, Strategies or access to any other person;
• copy, reverse engineer, decompile or attempt to extract the source code of the Platform or any Strategy;
• scrape, crawl or use automated means to access the Platform other than through our official APIs;
• interfere with or overload the Platform, or introduce viruses or other harmful code; or
• misrepresent your identity or your relationship with ALGORICK.

10. Intellectual property

The Platform, including its software, design, logos, trademarks, Strategies and Content, is owned by or licensed to ALGORICK and is protected by Indian and international intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Platform for your personal trading during your Subscription. No other rights are granted.

If you send us feedback or suggestions, we may use them without any obligation to you.

11. Third-party services and market data

The Platform relies on third parties such as Brokers, exchanges, data vendors, cloud hosting providers, payment gateways and news publishers. Market data and news may be delayed, incomplete or inaccurate. We do not guarantee the accuracy, completeness or availability of third-party data or services and are not responsible for their acts or omissions.

12. No investment advice

Nothing on the Platform is investment, financial, legal or tax advice, or a recommendation to buy, sell or hold any security. Strategies, screeners, ratings, analytics and articles are provided for information and as tools only. You should make your own decisions and, where needed, consult a SEBI-registered investment adviser.

13. Disclaimer of warranties

The Platform is provided on an “as is” and “as available” basis. To the extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, uninterrupted availability and freedom from errors. We do not guarantee any profit or that any Strategy will perform as expected.

14. Limitation of liability

To the maximum extent permitted by law:

• ALGORICK is not liable for any trading losses, missed trades, lost profits or opportunities arising from your use of the Platform.
• ALGORICK is not liable for losses caused by Broker or exchange outages, order rejections, internet or power failures, delays in market data, or events outside our reasonable control.
• ALGORICK is not liable for any indirect, incidental, special, consequential or punitive damages.
• Our total liability for any claim relating to the Platform is limited to the fees you paid to us in the three months before the event giving rise to the claim.

15. Indemnity

You agree to indemnify and hold harmless ALGORICK, its directors, employees and partners from any claims, losses, penalties or expenses (including reasonable legal fees) arising from your use of the Platform, your trades, your breach of these Terms or your violation of any law or third-party rights.

16. Suspension and termination

You may close your account at any time from your account settings or by writing to us. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required by law, a regulator, an exchange or your Broker, or if we reasonably suspect fraud or misuse. On termination, active Strategies will be stopped. You remain responsible for any open positions in your Broker account.

17. Force majeure

We are not responsible for any delay or failure to perform caused by events beyond our reasonable control, including natural disasters, pandemics, war, riots, government action, regulatory changes, exchange or Broker failures, cyber attacks, and internet or power outages.

18. Governing law and dispute resolution

These Terms are governed by the laws of India. Any dispute will first be addressed through good-faith discussion for 30 days. If unresolved, it will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration will be Odisha, and the proceedings will be in English. Subject to this, the courts at Paralakhemundi, Odisha will have exclusive jurisdiction.

19. Grievance redressal

In line with the Information Technology Act, 2000 and the rules made under it, and the Digital Personal Data Protection Act, 2023, you can raise any complaint or concern with our Grievance Officer:

We will acknowledge your complaint within 24 hours and aim to resolve it within 15 days of receipt.

20. Changes to these terms

We may update these Terms from time to time. We will post the updated version on this page with a new “Last updated” date and, for material changes, notify you by email or in the Platform. Continued use of the Platform after changes take effect means you accept the updated Terms.

21. General

• If any provision of these Terms is found invalid, the rest will remain in effect.
• Our failure to enforce any right is not a waiver of that right.
• You may not transfer your rights under these Terms. We may assign them to a successor or affiliate.
• These Terms, together with the policies referred to above, are the entire agreement between you and ALGORICK regarding the Platform.
